1. Agreement to Terms

By accessing or using the MapStack Sponsors portal ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all sponsors, advertisers, and others who access or use the Service.

2. Description of Service

MapStack Sponsors is an advertising platform that allows businesses to promote their locations within the MapStack mobile application. Sponsored places appear to MapStack users based on targeting criteria you define, including geographic location and interest tags. You pay a flat rate per click when a user taps on your sponsored place.

3. Account Registration

You must sign in using a valid Google or Apple account to access the Service. You are responsible for all activity that occurs under your account. You agree to provide accurate information and to keep your account credentials secure. MapStack reserves the right to suspend or terminate accounts that violate these Terms.

4. Sponsorships and Billing

Sponsorships are billed at $1.00 USD per click. A "click" is recorded when a MapStack user taps on your sponsored place listing.
You set a daily budget cap. Your sponsorship will stop serving impressions once the daily cap is reached, and resets every 24 hours from the time of creation.
Charges are billed weekly through Stripe. By creating a sponsorship, you authorize MapStack to charge your payment method on file for all click-based usage incurred during each billing period.
All charges are final and non-refundable except as required by law or at MapStack's sole discretion.
You may cancel your sponsorship at any time. Cancellation takes effect at the end of the current billing period. You remain responsible for charges incurred through the cancellation date.

5. Acceptable Use

You agree not to use the Service to promote:

Illegal products, services, or activities
Misleading, fraudulent, or deceptive content
Content that infringes any third-party intellectual property rights
Adult content, gambling, tobacco, or firearms (where restricted by law)
Hate speech, harassment, or content that discriminates based on protected characteristics

MapStack reserves the right to reject, pause, or remove any sponsorship at any time for any reason, including but not limited to a violation of these Terms.

6. Click Tracking and Reporting

MapStack tracks clicks using server-side usage records. Click counts displayed in your dashboard reflect data recorded by MapStack's systems and are used as the basis for billing. In the event of a discrepancy, MapStack's records are authoritative. MapStack makes reasonable efforts to filter invalid or fraudulent clicks, but does not guarantee 100% accuracy.

7. Intellectual Property

MapStack and its licensors own all rights, title, and interest in the Service, including all software, designs, and content. You retain ownership of the business information you provide, but grant MapStack a non-exclusive, worldwide license to display that information within the Service and the MapStack mobile application for the duration of your sponsorship.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MAPSTACK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAPSTACK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL MAPSTACK'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU IN THE 90 DAYS PRECEDING THE CLAIM.

10. Changes to Terms

MapStack may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
